Sophos Support Agreement

UCLA has negotiated an agreement with Sophos to license Sophos antivirus products for UCLA staff, students, and teachers. The license agreement provides access to the following Sophos products: 24/7 Support Business-critical services must be operational at all times. We`ll make sure you have access to 24/7 support. Cyberoam support is provided by all modes of communication – phone, web, email and chat. 4.1 This End User License Agreement allows you to obtain maintenance for the duration of the license. 4.2 You acknowledge and agree that the Licensed Products and Sophos may communicate directly and remotely in order to verify their login information, deliver reports and alerts such as automated support requests and alerts, and perform maintenance work. 4.3 Sophos reserves the right to limit, at its discretion, the number of users who can contact Sophos Technical Support. In order to ensure business continuity, our first-class security solutions are made available with an extensive and committed range of support services. Our services ensure that your systems benefit from continuous security and protection against new threats. Dedicated real-time support gives you direct access to our technical support technicians who give your employees instant access to Cyberoam resources for a quick response.

13.1 The resellers, distributors or distributors from whom you purchased the product are not designated or authorised by Sophos as an executing agent or representative. None of these persons has the authority not to enter into any contract, insurance, warranty or warranty with you or to you, or to translate or otherwise modify this End User License Agreement on behalf of Sophos, or to bind Sophos in any way. 13.2 You agree that Sophos may use for its business purposes any technical information you provide, including but not limited to information provided as part of the optional data release provided for in clause 8, including but not limited to wearing and product development. 13.3 You agree to pay the full amount of tax by virtue of an invoice from Sophos or, as the case may be, an authorized reseller, distributor or distributor. Without prejudice to Sophos` other rights and remedies, if the amount of the underpayment exceeds 5% of the fees due or if the review reveals a violation of the license restrictions under this End User License Agreement, you shall also pay Sophos` reasonable fee to perform the audit, without prejudice to Sophos` other rights and remedies. 13.5 Sophos may, in its discretion, assign any of its rights or obligations under this Agreement to any of its subsidiaries, resellers, distributors or distributors.

13.6 Sophos may at any time change the terms of this End User License Agreement by announcing to you in an appropriate manner, including but not limited to posting revised terms on its website under the URL www.sopho.com/legal/eula.html, the amended terms of which are binding on you. . . .
